CAITHNESS AMATEUR GYMNASTICS CLUB

CONSTITUTION

1. TITLE

The Club shall be called Caithness Amateur Gymnastics Club

 

2. AIMS

To promote, foster and encourage the sport of gymnastics and to support the constitutional aims of the governing body: Scottish Gymnastics

 

3. MEMBERSHIP

  1. Full membership shall be open to all persons aged 18 and over who support the aims of the club and have paid the annual subscription as determined by the Executive Committee.
  2. Junior membership shall be open to all persons aged under18 who are registered with the club as gymnasts. Junior members shall not be entitled to vote.
  3. Membership subscription rates shall be determined by the Executive Committee.
  4. The Executive Committee shall have the power to expel from membership any member who:

    Disrupts the activities of the club

    Refuses to abide by the rules of the club

    Acts in such a manner as to bring the club into disrepute

    Any person expelled shall be offered the opportunity to appeal to the Executive committee at its meeting next following, whose decision shall be final.

  1. The Executive Committee shall maintain a register of members, both full and junior.

 

4. OFFICE BEARERS

Office bearers shall be full members of Caithness Amateur Gymnastics Club and shall consist of:

All of whom shall be elected by a majority vote of members at the annual general meeting. In the event of there bring no nominations, the Executive Committee shall have the power to appoint. The office bearers shall be eligible for re-election at the expiry of their term of office.

 

5. EXECUTIVE COMMITTEE

The business of Caithness Amateur Gymnastics Club shall be conducted by an Executive Committee, which shall consist of a Chairman, Vice-Chairman, Treasurer, Secretary, and Head coach and up to six other members. Executive Committee members shall be elected annually at the general meeting by a majority vote of club members present. Two office bearers and two other Executive Committee members shall constitute a quorum of the Executive Committee and the Executive Committee will meet not less than six times a year. Should a vacancy occur during the year it may be filled by the Executive Committee. The members so co-opted shall serve until the next annual general meeting when they shall be eligible for re-election.

 

6. FINANCE

The financial year shall run from 1 January to 31 December. The treasurer shall be empowered to keep bank accounts which shall be operated in accordance with the instructions of the Executive Committee, and shall be audited and submitted to the annual general meeting. The funds of the Caithness Amateur Gymnastics Club shall be placed by the treasurer in a bank on an account in the name of Caithness Amateur Gymnastics Club, to be operated on by Caithness Amateur Gymnastics Club. The Executive Committee shall authorise in writing three members of the Executive Committee one of whom shall be the treasurer to sign cheques on behalf of the Association. All cheques must be signed by not less than two of the three authorised signatories.

 

7. ANNUAL SUBSCRIPTIONS

The annual subscriptions for all members shall be decided by the Executive Committee. Training sessions' fees shall be decided by the Executive Committee.

 

8. PAYMENT OF COACHES AND TRAVEL AND SUBSISTENCE

The payment of qualified coaches and travel and subsistence shall be at the discretion of, and decided upon by the Executive Committee.

 

9. ANNUAL GENERAL MEETING

The annual general meeting shall be held at the end of March each year and the secretary shall give members not less than four weeks notice. Notices of motion shall be sent to the secretary not less than two weeks prior to the date of the annual general meeting. Members shall receive not less than one week prior to the date of the annual general meeting copy of the agenda, audited statement of accounts, notice of motion and any other relevant reports. The agenda for the annual general meeting shall consist of the following items

  1. Approved minutes of the previous year's AGM
  2. Receive reports from the Chairman and the Honorary Secretary
  3. Receive a report from the Honorary Treasurer and approve annual accounts
  4. Receive a report from the Auditors
  5. Receive a report from the Head coach
  6. Elect office bearers
  7. Elect the Executive Committee
  8. Consider any changes to the Constitution
  9. Appoint Auditors for the Club's accounts
  10. Deal with the relevant business

The quorum at an Annual General Meeting of the club shall be five full members

 

10. SPECIAL GENERAL MEETINGS

A Special General Meeting may be arranged at any time by the Office Bearers and shall be arranged within 21 days of receipt of any notice of motion from no fewer than six full members of the Club addressed to the secretary. The secretary shall give not less than fourteen days notice to the members of a Special General Meeting and of the business of that meeting

 

11. ALTERATIONS TO CONDITIONS AND RULES

Alterations to the Constitution and Rules shall be made at the Annual General Meeting or at a Special General Meeting called for that purpose and by the assent of not less than 75% of the full members of the club present and voting.

 

12. DISSOLUTION

Caithness Amateur Gymnastics Club may at any time be dissolved by a resolution passed by a Special or Annual General Meeting. Assets and funds held by Caithness Amateur Gymnastics Club at the time of dissolution, after all debts and liabilities have been met, shall be distributed according to the agreed wishes of the retiring Executive Committee to an organisation with similar aims, failing which, to Scottish Gymnastics.
